End User License Agreement

This End User License Agreement (“Agreement” or “License”) is a legal agreement between you (“you” or “Licensee”) and Tradebrary (“Tradebrary,” “we,” “us,” or “our”), governing your use of any software, indicator, strategy, script, code, template, or related digital product (each, a “Product”) you obtain from us. By purchasing, downloading, installing, or using a Product, you agree to be bound by this Agreement.

1. License Grant

Subject to your full compliance with this Agreement and payment of all applicable fees, Tradebrary grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Product for your own individual trading and educational purposes only.

2. Permitted Use

Install and use the Product on devices and trading accounts that you personally own or control.
Use the Product for your own personal, non-commercial trading and analysis.
Make a single backup copy for archival purposes, provided it retains all proprietary notices.

3. Restrictions

You may not, and may not permit any third party to:

Resell, redistribute, sublicense, lease, rent, lend, share, publish, or otherwise make the Product available to any third party;
Copy, post, or upload the Product to any public repository, file-sharing service, marketplace, or website;
Share, transfer, sell, or disclose your license key, activation code, account credentials, or download links;
Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code or underlying logic of any compiled Product, except to the extent this restriction is prohibited by applicable law;
Modify, adapt, translate, or create derivative works for the purpose of redistribution or resale;
Remove, alter, or obscure any copyright, trademark, license-key, watermark, or other proprietary notice;
Use the Product to build, train, or offer a competing product or service;
Use the Product in any unlawful manner or in violation of any third-party platform’s rules.

4. License Keys & Activation

Certain Products are protected by a unique license key or activation mechanism. Your license key is personal to you. We may limit the number of devices or accounts on which a Product may be activated. We reserve the right to suspend, deactivate, or revoke any license key that we reasonably believe is being shared, abused, or used in violation of this Agreement, without refund.

5. Ownership & Intellectual Property

The Product is licensed, not sold. Tradebrary and its licensors retain all right, title, and interest in and to the Product, including all intellectual property rights, source code, algorithms, logic, design, and documentation. This Agreement does not grant you any ownership rights. All rights not expressly granted to you are reserved by Tradebrary.

6. Updates

We may, but are not obligated to, provide updates, bug fixes, or new versions of a Product. Any updates we provide are governed by this Agreement unless accompanied by a separate license. We do not guarantee ongoing compatibility with future versions of any third-party platform.

7. Term & Termination

This Agreement is effective until terminated. It terminates automatically, without notice, if you breach any of its terms. We may also terminate or suspend your license if you violate this Agreement or engage in fraudulent or abusive conduct. Upon termination, you must stop using and delete all copies of the Product. Sections relating to ownership, restrictions, disclaimers, and limitation of liability survive termination. No refund is due upon termination for breach.

8. Disclaimer of Warranties

THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TRADEBRARY DOES NOT WARRANT THAT THE PRODUCT WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR TRADING RESULT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRADEBRARY OR ITS OWNER BE LIABLE FOR ANY TRADING LOSSES OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE PRODUCT OR THIS AGREEMENT. TRADEBRARY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

10. Governing Law

This Agreement is governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws rules. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Tennessee.
